Who needs equity management software?

You need equity management software once equity is part of how you pay people and the cap table lives in a spreadsheet or a law firm's files. The signals are grants approved by the board but not recorded consistently, employees asking what their options are worth, and investors or acquirers requesting a clean cap table on short notice.

Equity events create reporting duties. The IRS says corporations file Form 3921 for each transfer of stock when a person exercises an incentive stock option, and Form 3922 for certain transfers of stock acquired through an employee stock purchase plan. The SEC says Rule 701 exempts certain sales of securities made to compensate employees, consultants and advisors, and requires additional disclosure when a company sells more than $10 million in securities in a 12-month period.

A company with founders only and no employee grants can usually wait. Move to software before the first option grant, because reconstructing a cap table later is slow and error-prone.

The cap table is a legal record, so accuracy and auditability come first. Features for modeling and employee education only help if the underlying ledger is right.

Bring your current cap table and a few real grants to the demo, and ask the vendor to show a grant from board approval through vesting, exercise and the related tax form.
