How to choose equity management software

The cap table is a legal record, so accuracy and auditability come first. Features for modeling and employee education only help if the underlying ledger is right.

Bring your current cap table and a few real grants to the demo, and ask the vendor to show a grant from board approval through vesting, exercise and the related tax form.

  1. Cap table accuracy and ledger detail

    Investors, auditors and acquirers rely on the cap table, and errors are costly to fix later.

  2. Grant and vesting administration

    Vesting schedules, cliffs, acceleration and leaves of absence must be applied consistently for every holder.

  3. Exercise workflows and tax forms

    Exercises trigger payroll and tax reporting, such as Form 3921 for incentive stock options.

  4. Securities compliance support

    Private companies granting equity rely on exemptions such as Rule 701, which has disclosure requirements above a sales threshold.

  5. Valuation support

    Option exercise prices are usually set with reference to a fair market value, so valuation records must be linked to grants.
